These Service Terms govern the professional and consulting services ProScholer provides beyond its standard certification courses. This includes career consulting, mentorship packages, corporate training programs, grant and proposal writing, and other bespoke engagements.
In these Service Terms, “ProScholer,” “we,” “us,” or “our” refers to the ProScholer platform and its team. “Client” or “you” refers to the individual, team, or organization engaging ProScholer for a defined service. By proceeding with a service engagement, you confirm that you have read and agreed to these terms.
Scope of Services
These Service Terms apply to the following ProScholer offerings:
- Career Consulting: career clarity sessions, resume rewrites, LinkedIn profile optimization, interview preparation, and job search strategy.
- One-on-One Mentorship: structured accountability sessions with a ProScholer mentor or instructor.
- Corporate Training Programs: instructor-led cohorts, team skill assessments, and customized training packages delivered to organizations.
- Grant and Proposal Writing: drafting, editing, and reviewing grant applications, business proposals, and related documentation.
- Project Documentation Support: technical writing, stakeholder decks, and delivery documentation.
These services are separate from ProScholer’s self-paced certification courses, which are governed by our main Terms and Conditions. Where a client engages both, both documents apply.
Engagement and Confirmation
A service engagement begins when both parties confirm the scope, timeline, and fee in writing. This may be through a signed proposal, a confirmed email exchange, or a completed order form, depending on the nature of the service.
ProScholer will not commence work on a paid service until confirmation and, where applicable, an initial payment have been received. Any changes to the agreed scope after confirmation must be mutually agreed in writing before additional work begins.
Fees and Payment
Service fees are agreed at the time of engagement and stated clearly in the proposal or order confirmation. ProScholer’s standard payment terms are as follows:
- Career consulting and mentorship packages: full payment or first installment due before the first session.
- Corporate training programs: a deposit of 50% due upon confirmation, with the remaining balance due before the final delivery or session.
- Grant and proposal writing: payment structure agreed per project, typically split between commencement and delivery.
All fees are quoted in the currency stated in your engagement document. Applicable taxes are the responsibility of the client and will be noted on the invoice where required. Late payments may result in a pause of service delivery until the outstanding balance is settled.
Delivery and Timelines
ProScholer will deliver services within the timelines agreed at the point of engagement. Timely delivery depends on the client providing all necessary information, access, and feedback at the agreed intervals.
Where a delay on the client’s side affects the delivery timeline, ProScholer reserves the right to adjust the schedule accordingly. Where ProScholer is unable to meet an agreed timeline due to circumstances within our control, we will communicate this promptly and propose a revised plan.
Confidentiality
ProScholer treats all client information shared during a service engagement as confidential. We will not disclose your personal details, business information, grant content, or project materials to any third party without your explicit permission, except where required by law.
Clients are equally expected to keep any proprietary ProScholer materials, frameworks, or working documents shared during an engagement confidential and not to reproduce or distribute them without written consent.
Intellectual Property and Deliverables
Upon full payment, the client owns the final deliverables produced specifically for them under a service engagement. This includes completed grant documents, proposal drafts, resumes, and project documentation.
ProScholer retains ownership of all underlying frameworks, templates, methodologies, and tools used to produce those deliverables. These remain the intellectual property of ProScholer and may not be reproduced or commercialized by the client.
For corporate training programs, session materials, slides, and custom course content developed specifically for your organization remain jointly governed. ProScholer may reuse generalized frameworks and concepts but will not reproduce your organization’s specific content without permission.
Corporate Training Engagements
For organizations engaging ProScholer to train teams, the following additional terms apply:
- The client is responsible for providing accurate information on the number of participants, their professional backgrounds, and the learning objectives prior to program design.
- ProScholer will design and deliver the program based on the agreed brief. Significant changes to participant numbers or scope after confirmation may affect fees and timelines.
- Participants must comply with ProScholer’s platform usage guidelines throughout the program.
- Where training includes travel by a ProScholer instructor, reasonable travel and accommodation costs will be agreed in advance and billed separately.
Cancellation and Refunds
Clients may cancel a service engagement with written notice. The following applies:
- Cancellation before work has commenced: a full refund of any amounts paid, less a 10% administrative fee.
- Cancellation after work has commenced: a refund of the unused portion of the fee, calculated based on the work completed at the point of cancellation.
- No refund is available once a service has been fully delivered.
ProScholer reserves the right to cancel an engagement if the client fails to provide the information, cooperation, or payment required to proceed. In such cases, fees for work already completed will be retained.
Limitation of Liability
ProScholer provides professional, good-faith service. However, we cannot guarantee specific outcomes from career consulting, grant writing, or proposal services. Results depend on individual circumstances, employer decisions, funding body requirements, and other factors outside our control.
ProScholer’s liability in connection with any service engagement shall not exceed the total fees paid by the client for the specific service to which the claim relates.
Professional Conduct
ProScholer is committed to professional, respectful, and supportive engagement with every client. We expect the same in return. ProScholer reserves the right to discontinue a service engagement if a client’s conduct is abusive, threatening, or disruptive to our team.
All communication related to service engagements should be directed through the designated ProScholer contact for your program. Response times and availability will be outlined at the start of each engagement.
Changes to These Terms
ProScholer may update these Service Terms from time to time. Any active engagement will continue under the terms agreed at the point of confirmation unless both parties agree otherwise in writing. Updated terms apply to new engagements from the date of publication on our website.
