Acceptance of These Terms

These Terms and Conditions govern your use of the ProScholer website, platform, and all courses, programs, and services made available through them (collectively, the “ProScholer Products”). In this document, “ProScholer,” “we,” “us,” and “our” refer to ProScholer. “You” refers to any individual user, learner, or paying customer accessing the ProScholer Products.

By accessing or using any part of the ProScholer Products, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions, our Privacy Policy, and our Refund Policy. If you do not agree, you are not authorized to use the ProScholer Products.

Please read this document carefully before using our platform or enrolling in any course.

Your Account and Login Credentials

Your ProScholer account is for your exclusive use. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

You must not share your account with anyone else. Sharing or transferring account access is grounds for immediate suspension and termination.

If you suspect unauthorized access to your account, contact us immediately at support@proscholer.com. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Course Content and Access

When you enroll in a ProScholer course, you are granted a personal, non-transferable, non-exclusive, and revocable license to access the course content for the duration of your enrollment or until this Agreement is terminated, whichever is earlier.

This license is strictly for personal, non-commercial use to support your learning and certification goals. You may not copy, share, broadcast, sublicense, or create derivative works from any course content without our prior written consent.

ProScholer reserves the right to update, revise, or amend course content at any time to maintain quality and alignment with current certification standards. We will communicate significant changes where possible.

Free Content

Where ProScholer provides free access to any course preview, resource, or content, that access is limited in scope and duration. Free access does not include exam vouchers, certifications, instructor feedback, or full course features. ProScholer may revoke free access at any time without prior notice.

Intellectual Property

All content, courseware, templates, platform design, branding, and materials available through ProScholer are owned by ProScholer or its licensed partners and are protected by applicable intellectual property laws.

Your enrollment grants you the right to use these materials for personal learning only. It does not transfer any ownership, title, or broader rights to you.

If you believe any content on the ProScholer platform infringes your intellectual property rights, please contact us in writing with the following:

  • Your name and contact details.
  • A description of the copyrighted or protected work you believe has been infringed.

Use of Your Information

By using ProScholer, you agree that we may use your name, image, or testimonial in course-related materials or promotional content where you have provided consent. We will not distribute your personal data to third-party marketing databases.

For full details on how we collect, use, and protect your information, please refer to our Privacy Policy at proscholer.com/privacy.

Third-Party Links

The ProScholer platform may include links to external resources, certification bodies, or partner websites for your convenience. We do not control or endorse the content of external sites and are not responsible for their practices.

We encourage you to review the terms and privacy policies of any third-party sites you visit through links on our platform.

Limitation of Liability

ProScholer’s platform, courses, and content are provided on an “as available” basis. While we work to maintain high standards of availability and accuracy, we do not guarantee that the platform will be uninterrupted, error-free, or free from technical issues.

To the fullest extent permitted by applicable law, ProScholer, its instructors, affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the ProScholer Products. Our total liability for any claim arising from your use of our services shall not exceed the amount you paid for the specific course to which the claim relates.

This limitation applies regardless of the legal basis of the claim, including contract, negligence, or otherwise.

Term and Termination

These Terms remain in effect for the duration of your use of the ProScholer Products. ProScholer reserves the right to suspend or terminate your access with immediate effect in the event of:

  • Misrepresentation or fraudulent activity.
  • Breach of any obligation under these Terms.
  • Misuse of course content, platform infrastructure, or community spaces.
  • Any conduct that harms other learners, instructors, or the ProScholer brand.

Upon termination, your license to access course materials ends. You remain responsible for any obligations incurred prior to termination.

Indemnity

You agree to indemnify and hold ProScholer, its instructors, employees, affiliates, and agents harmless from any claims, losses, damages, or expenses, including legal fees, arising from your unauthorized use of the ProScholer Products or any breach of these Terms.

Dispute Resolution and Governing Law

We want to resolve any concerns quickly and fairly. If you have a dispute with ProScholer, please contact us first at support@proscholer.com so we can work toward a resolution.

These Terms are governed by and construed in accordance with applicable law in the jurisdiction where ProScholer is registered. Where disputes cannot be resolved directly, they may be referred to binding arbitration or the appropriate court, depending on your location and the nature of the claim.

Nothing in this section prevents you from raising concerns with a relevant consumer protection authority or regulatory body in your region.

Waiver and Severability

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right. Any waiver must be made in writing to be valid.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the intent of the original clause.

Amendments to These Terms

ProScholer reserves the right to update these Terms and Conditions at any time. When changes are made, the revised version will be published on our website with an updated effective date.

Your continued use of the ProScholer Products after any revision constitutes your acceptance of the updated Terms. We encourage you to review this page periodically. You may not assign or transfer your rights or obligations under this Agreement to any third party.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Refund Policy, and any additional guidelines posted on the ProScholer platform, constitute the entire agreement between you and ProScholer governing your use of our products and services. They supersede any prior agreements or understandings relating to the same subject matter.
